1. DEFINITIONS

The following definitions apply throughout these General Terms and Conditions:
  • “Account”: Refers to the Uploader’s individualized and dedicated digital environment in the OnlyPeach web application.
  • “Appendix”: Refers to Appendix 1 “Licence to Use the Solution,” Appendix 2 “Terms of Use of the Application,” and Appendix 3 “Terms of Use of the Download Pages.”
  • “Application”: Refers to the web-based platform OnlyPeach providing services for hosting and monetizing digital content.
  • “Downloader”: Refers to any natural person who purchases access to and downloads a File.
  • “Download Page”: Refers to a private webpage, accessible via a dedicated URL, from which a File can be accessed and downloaded after payment.
  • “File”: Refers to any digital content, including but not limited to photos, videos, and other media, that is uploaded and distributed through the Solution.
  • “General Terms and Conditions”: Refers to these terms and conditions, including their Appendices.
  • “Intellectual Property Rights”: Refers to all rights, whether registered or unregistered, including patents, trademarks, copyright (including software copyright), database rights, domain names, trade secrets, business information, and any equivalent protections recognized worldwide.
  • “Personal Data Regulation”: Refers to all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and any other relevant regulations governing the processing of personal data.
  • “Solution”: Refers collectively to the OnlyPeach web platform and the private Download Pages.
  • “Uploader”: Refers to any natural or legal person who uploads and distributes a File using the OnlyPeach platform.
  • “User”: Refers collectively and individually to an Uploader or a Downloader.
  • “OnlyPeach”: refers to the product operated by Aquanaut Software LTD, a company incorporated and registered under the laws of England, with registration number 16213099.
Unless circumstances request otherwise, definitions in the singular include the plural and vice versa.

2. PURPOSE AND SCOPE OF THE GENERAL TERMS AND CONDITIONS

OnlyPeach is a web-based service that enables an Uploader to upload digital Files and make them accessible to third parties via a private URL in exchange for payment. The license to use the Solution is detailed in Appendix 1.
These General Terms and Conditions govern the conditions under which Files are uploaded and downloaded and establish the legal framework for all Users of the OnlyPeach platform. Specific terms related to the Application are detailed in Appendix 2, and specific terms related to the Download Pages are detailed in Appendix 3.

3. CONTRACTUAL DOCUMENTS AND HIERARCHY

The relationship between OnlyPeach and the User is governed by these General Terms and Conditions.
If any contradictions arise between different contractual documents, they will prevail in the following order of priority:
  1. The Appendices
  1. The General Terms and Conditions
If the Parties wish to incorporate additional documents into the General Terms and Conditions, they must establish a written agreement specifying the relationship of such documents with the existing terms.

4. ACCEPTANCE AND MODIFICATION OF THE GENERAL TERMS AND CONDITIONS

Access to and use of the Solution are subject to the User’s express prior acceptance of the General Terms and Conditions:
(i) by Uploaders when they create an Account on the OnlyPeach platform, and
(ii) by Downloaders when they access a Download Page.
If a User does not agree with the General Terms and Conditions, they must refrain from using the Solution.
OnlyPeach reserves the right to modify the General Terms and Conditions or the Solution at its sole discretion, particularly for legal or technological reasons, or to introduce new features or improve existing ones.
OnlyPeach will notify Uploaders in writing of any significant changes to the General Terms and Conditions. Unless required by law, regulatory obligations, or unforeseen urgent circumstances, changes will not take effect until fifteen (15) days after the notification. Uploaders may terminate their agreement by providing written notice within this period. If an Uploader does not terminate the agreement, they acknowledge and accept the revised terms.
Unless required by law, modifications will not apply retroactively unless they provide a direct benefit to the User.

5. UNDERTAKINGS AND GUARANTEES OF ONLYPEACH

5.1 Undertakings of OnlyPeach

OnlyPeach undertakes to make the Solution available to Users in accordance with these General Terms and Conditions.

5.2 Provision of the Solution

The User acknowledges that the Solution is protected under applicable Intellectual Property Rights and that OnlyPeach is the sole owner of these rights. The terms of the license to use the Solution are detailed in Appendix 1.
The User understands and accepts that OnlyPeach has implemented measures to ensure compliance with the General Terms and Conditions and to monitor the appropriate use of the Solution.
OnlyPeach undertakes to maintain availability of the Solution 24 hours a day, 7 days a week, except in the case of:
  • Force majeure
  • Unforeseeable and unavoidable actions of third parties
  • Scheduled maintenance or emergency technical interventions necessary for service continuity
The OnlyPeach platform is a web-based application accessible through standard web browsers. Users acknowledge that due to internet-specific factors, including telecom network dependencies and technological constraints, OnlyPeach cannot guarantee uninterrupted access to the Solution at all times.
In the event of technical malfunctions or defects, OnlyPeach will make reasonable efforts to resolve issues promptly. If necessary, OnlyPeach may:
  • Temporarily suspend access to the Solution
  • Remove any content that is manifestly illegal or violates the General Terms and Conditions
  • Deploy updates or technical improvements to enhance the platform

5.3 Guarantees of OnlyPeach

5.3.1 Intellectual Property Guarantees

OnlyPeach guarantees that it holds all necessary rights and authorizations to enter into these General Terms and Conditions, including:
(i) full ownership of all Intellectual Property Rights related to the Solution, and
(ii) the right to grant Users the ability to use the Solution as outlined in these terms.
OnlyPeach guarantees Users against any legal action, claim, or dispute initiated by a third party asserting an Intellectual Property Rights infringement arising from the use of the Solution. If such a claim occurs, the User must notify OnlyPeach in writing within seven (7) days of becoming aware of the issue and provide all relevant supporting documents. The User remains free to take any additional measures they deem necessary for their own defense.
If a court decision that has become final and enforceable finds that the Solution infringes upon a third party’s Intellectual Property Rights, OnlyPeach will cover any damages awarded against the User, excluding any legal costs incurred by the User in their own defense. However, this guarantee only applies if:
(i) the User notifies OnlyPeach of the claim in writing within seven (7) days, and
(ii) the claim does not arise from the User's misconduct, a breach of the General Terms and Conditions, or a violation of the license terms outlined in Appendix 1.

5.3.2 Legal Guarantees for Users

Users based in the United Kingdom benefit from statutory consumer protection laws applicable to digital services. In compliance with the UK Consumer Rights Act 2015, digital services provided by OnlyPeach must be of satisfactory quality, fit for purpose, and as described. If the Solution fails to meet these standards, Users may be entitled to a repair, replacement, or refund as per UK consumer protection laws.
Users wishing to invoke this statutory protection can contact OnlyPeach using the details provided in Article 14.
OnlyPeach does not provide any additional commercial guarantees beyond the legally required protections under UK law.

5.3.3 Limitation of Liability for Files

Users acknowledge that the guarantees outlined in this section do not cover any Files, their content, or their integrity. The Uploader is solely responsible for ensuring that the File complies with legal, technological, and commercial requirements.
In the event of any claim regarding a File’s legality, quality, or compliance, OnlyPeach bears no liability and encourages Downloaders to contact Uploaders directly.

6. UNDERTAKINGS AND GUARANTEES OF USERS

6.1 Users’ Undertakings

Users understand and accept that the Solution is provided “as is” and is intended for personal and lawful use only. In particular, each User undertakes:
  • To be over the age of 18 and have the legal capacity to enter into a binding contract.
  • To prevent unauthorized third-party access to their Account or the Solution.
  • To refrain from any actions that could harm, disrupt, or interfere with the Solution’s operation.
  • To provide accurate, truthful, and error-free information when using the Solution.
  • Not to create fake Accounts or use a false identity.
  • Not to harm, directly or indirectly, OnlyPeach’s reputation or image.
  • Not to infringe upon third-party rights (including privacy, intellectual property, and contractual rights).
  • To comply with these General Terms and Conditions, applicable laws and regulations, and not violate public order, morality, or third-party rights.
  • To use the Solution in a fair and lawful manner, and to refrain from fraudulent activities, including attempts to overload or bypass OnlyPeach’s security and technological measures.
  • To use the Solution solely for its intended purpose, and not exploit the platform or its technology for competing services.
More generally, Users must ensure their use of the Solution is fair and non-excessive.

6.2 Consent Requirements

Each User confirms that:
(a) They have obtained all necessary consent from any individuals depicted in the Files, including their acknowledgment of the nature and purpose of the content.
(b) Where applicable, they have explicit consent for the public distribution of the content via the OnlyPeach platform.
(c) Where applicable, they have explicit consent for the downloading and purchase of the content by other Users.

6.3 Users’ Guarantees

Users are strictly prohibited from engaging in any of the following activities:
  • Any attempt to interrupt, suspend, or slow down the Solution.
  • Uploading or distributing illegal content, including content that violates intellectual property rights.
  • Using fraudulent payment methods, including stolen or unauthorized bank cards.
  • Using the Solution to store, distribute, or facilitate any illegal, unlawful, or prohibited activity.
  • Attempting to hack, breach, or intrude into OnlyPeach’s computer systems.
  • Overloading OnlyPeach’s infrastructure or engaging in any activities that could harm its financial, commercial, or operational interests.
  • Bypassing security or authentication measures.
  • Copying, reverse-engineering, or misappropriating the OnlyPeach platform or its technology.
  • Diverting the Solution for any use other than its intended purpose.
Users are strictly prohibited from posting or distributing any of the following types of content:
  • Child sexual abuse material (CSAM).
  • Incest, bestiality, rape, or any other non-consensual sexual behavior.
  • Human trafficking, sex trafficking, or content that promotes abuse or exploitation.
OnlyPeach reserves the right to immediately remove any such content and to report illegal material to the appropriate law enforcement authorities, which may include but are not limited to:
  • The UK National Crime Agency (NCA)
  • Europol
  • The Federal Bureau of Investigation (FBI)
  • INTERPOL

6.4 Liability for Uploaded Files

Each User guarantees that they hold all necessary rights and permissions for any File uploaded or distributed through the Solution.
In this respect, the User agrees to indemnify OnlyPeach against any claims, actions, or legal proceedings from third parties arising from:
  • (i) Privacy violations or misuse of personal data.
  • (ii) Intellectual property rights infringements (including violations of database regulations).
  • (iii) Breach of contractual rights related to the Files.
In the event of a claim, the User agrees to:
  • Assume the full financial burden of responding to any legal disputes.
  • Cover all damages, penalties, or settlements resulting from a court decision or out-of-court agreement.
  • Fully indemnify OnlyPeach, ensuring it is not held responsible for any legal liabilities, financial penalties, or reputational harm caused by the User’s actions.

7. LIABILITY

7.1 Liability of OnlyPeach

Users acknowledge and agree that OnlyPeach acts solely as a technical service provider and digital service supplier, meaning its responsibility is limited to the provision of the technological services outlined in these General Terms and Conditions.
Users understand that the Solution is an online digital service, and as such, its availability or functionality may be altered or interrupted due to:
(i) Technical malfunctions beyond OnlyPeach’s control;
(ii) Maintenance operations; or
(iii) Requests from competent administrative or judicial authorities or notification of manifestly illegal content.
OnlyPeach cannot be held liable for damages or issues arising from external or extraneous causes, including:
  • Loss of an Uploader’s credentials (e.g., forgotten passwords).
  • Loss of a File by the Downloader.
  • Infringement of intellectual property rights related to a File.
  • Inaccurate information provided by a User.
  • Downloader’s misunderstanding of the conditions, pricing, or characteristics of a File.
  • Inaccessibility of the Solution due to User-side issues, including:
    • Malfunctioning devices (e.g., incompatible browser or device).
    • Poor or lost internet connection.
  • Force majeure events, including but not limited to:
    • Natural disasters, cyberattacks, major system failures, regulatory changes, or government interventions.
As a digital service provider, OnlyPeach acts as a content host for Files uploaded by Uploaders.
  1. All uploaded content is moderated before publication. Any content that violates the standards will be taken down within 7 days.
  1. OnlyPeach cannot be held liable for manifestly illegal content unless it has obtained prior actual knowledge or awareness under applicable UK and international laws.
This includes, but is not limited to, Files containing:
  • Dangerous, illegal, or prohibited content.
  • Offensive, defamatory, slanderous, or libelous material.
  • Counterfeit, infringing, or misleading content.
  • Content that incites hate, violence, or breaches public order.
  • Content violating the rights, reputation, or privacy of another User or third party.
Users are expressly informed that OnlyPeach uses automated detection tools provided by third-party service providers to identify and filter illicit content. As part of this process, Files may be scanned and transmitted to third-party providers for unlawful content detection.

7.2 Liability of the User

Each User is solely responsible for any direct or indirect damages caused by their use of the Solution, including:
  • Damage to their own information systems.
  • Loss of personal data.
  • Non-compliance with data protection regulations (UK GDPR, Data Protection Act 2018, or equivalent laws).
  • Violation of intellectual property rights (e.g., unauthorized uploads, copyright breaches).
  • Breach of contractual obligations to third parties.
The Uploader understands and accepts full liability for any damage, direct or indirect, resulting from their use of the Files or their content. Any legal, financial, or reputational consequences arising from the Uploader's content are the Uploader’s sole responsibility.

8. PAYMENT FLOWS

Payment processing services are provided by third party payment solutions acting under their own liability, and are subject to their terms and conditions. By agreeing to the General Terms and Conditions, Uploaders agree to be subject to their terms.
Users must provide OnlyPeach with accurate and complete payment information. Users authorize OnlyPeach to share said relevant information with our third party payment solutions and any relevant transaction information related to the payout with our third party payment solutions.

8.1 Cancellation Policy

If you would like to cancel your subscription from rebilling, cancel your subscription from within your account or contact us at support@onlypeach.me.

9. INTELLECTUAL PROPERTY

9.1 OnlyPeach’s Intellectual Property Rights

The OnlyPeach platform, including its website, infrastructure, software, databases, and all content used within the Solution (such as text, images, graphics, logos, trademarks, and other digital assets), is protected by Intellectual Property Rights. These rights belong to OnlyPeach or its licensors.
OnlyPeach grants Users a limited, non-exclusive, and revocable license to use the Solution in accordance with these General Terms and Conditions. The terms of this license are detailed in Appendix 1.
With respect to Files uploaded by Uploaders, OnlyPeach acknowledges that it does not own any Intellectual Property Rights over the content, except for the license granted solely for the operation and functionality of the platform.

9.2 Uploader’s Intellectual Property Rights

9.2.1 Rights Granted to OnlyPeach

The Uploader guarantees that they:
  • Hold all necessary rights and authorizations to upload, share, and distribute the File.
  • Do not infringe upon any third-party Intellectual Property Rights.
The Uploader agrees to indemnify OnlyPeach against any legal claims, disputes, or damages resulting from Intellectual Property infringement claims. This indemnification covers:
  • Any pre-litigation settlements (e.g., compensation paid to resolve disputes).
  • Any court-ordered payments (whether the decision is final or not).
  • Any additional damages suffered by OnlyPeach as a result of the claim.
Limited License for Platform Operation
By uploading content, the Uploader grants OnlyPeach a limited, non-exclusive, royalty-free, worldwide license to use the File for the sole purpose of enabling, operating, and improving the Solution. This includes:
  • Reproducing the File (as is or modified for compatibility) on any digital medium (e.g., smartphones, tablets, computers).
  • Displaying or representing the File on digital networks (e.g., web browsers, streaming services, cloud storage).
  • Scaling, cropping, adapting, or modifying the File to ensure functionality across different formats.
This license remains valid as long as the Uploader’s account exists. Upon account deletion, OnlyPeach will cease using the File except where retention is required for legal, security, or compliance reasons.

9.2.2 Downloader’s Intellectual Property Rights

The Downloader acknowledges that:
  • The Uploader retains exclusive ownership of the File and its Intellectual Property Rights.
  • The Downloader is granted a limited, personal license to access and use the File for their own personal use only.
Restrictions on Use:
Unless explicitly permitted by the Uploader, the Downloader may not:
  • Sublicense, rent, lend, distribute, commercialize, or sell the File.
  • Modify, copy, or share the File beyond personal use.
Any violation of these terms may result in account suspension or termination and potential legal action from the Uploader or OnlyPeach.

10. DURATION, SUSPENSION, AND TERMINATION

10.1 Duration

From the date of acceptance, these General Terms and Conditions apply for the following durations:
  • For Uploaders: From the creation of an Account until its closure.
  • For Downloaders: From the first access to a Download Page until the File is downloaded.

10.2 Suspension

Access to the Solution may be temporarily suspended if necessary due to:
  • Material damage affecting the Solution.
  • Technical failures or security concerns.
  • Breach or suspected breach of the General Terms and Conditions by a User.
OnlyPeach may immediately suspend access to the Solution and its services in the following cases:
  • A User fails to comply with one or more obligations under these General Terms and Conditions.
  • A payment incident occurs, preventing payment of sums due to OnlyPeach.
  • A security breach or suspected fraudulent activity is detected.
During suspension, OnlyPeach will review the case and, if applicable, provide notice to the User regarding next steps.

10.3 Termination

Each User may terminate these General Terms and Conditions at any time by sending an email to: support@onlypeach.com
Subject line: “Termination of General Terms and Conditions”
Termination effects:
  • For Uploaders: Termination results in the immediate deletion of the Account, subject to any outstanding financial obligations (e.g., payments due to OnlyPeach).
  • For Downloaders: Termination occurs immediately after the File has been downloaded, and no further access will be granted.

11. DATA PROTECTION

11.1 Compliance with Data Protection Laws

The Parties undertake to comply with applicable Personal Data Regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, and must be able to demonstrate compliance upon request.

11.2 OnlyPeach as Data Controller

OnlyPeach is the Data Controller within the meaning of the UK GDPR for all personal data collected and processed in relation to the operation of the Solution. Personal data is processed in accordance with OnlyPeach’s Privacy Policy, which can be found here: Privacy Policy

11.3 OnlyPeach as Data Processor

For any personal data contained within Files uploaded by Users, OnlyPeach acts as a Data Processor. In this capacity:
  • OnlyPeach’s liability and obligations are limited to its role as a hosting platform.
  • The Uploader is solely responsible for ensuring compliance with data protection regulations concerning any personal data within the Files.
OnlyPeach does not actively monitor, review, or process the content of Files, and liability for any personal data violations related to such content rests solely with the Uploader.

12. MISCELLANEOUS

12.1 Severability

If any provision of these General Terms and Conditions is found to be invalid, unenforceable, or void due to legislative or regulatory changes or a court decision, the remaining provisions shall remain in full force and effect. The Parties shall continue to comply with the unaffected provisions.

12.2 Assignment and Change of Control

  • Users may not assign or transfer any rights or obligations under these General Terms and Conditions to a third party without the prior written consent of OnlyPeach.
  • In the event of:
    • A merger, acquisition, asset transfer, or any other corporate restructuring involving OnlyPeach; or
    • Any direct or indirect change of control of OnlyPeach
the contractual relationship shall continue without requiring notice or consent from Users.

12.3 Non-Waiver

Failure by either Party to enforce any provision of these General Terms and Conditions, whether permanently or temporarily, shall not be construed as a waiver of their right to enforce such provisions in the future.

13. GOVERNING LAW AND JURISDICTION

13.1 Governing Law

These General Terms and Conditions are governed by and shall be interpreted in accordance with the laws of England and Wales.
If a User is a consumer residing in another country within the United Kingdom (UK) or the European Union (EU), they may also benefit from consumer protection rights under the mandatory provisions of the applicable laws in their country of residence.

13.2 Competent Courts

Any dispute or claim arising from these General Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
However, if a User is a consumer, they may bring proceedings:
  • In the courts of England and Wales, or
  • In the courts of their country of residence within the UK or EU, in accordance with applicable consumer protection laws.

Appendix 1 – License to Use the Solution

1. Purpose of the Appendix

This Appendix defines the terms and conditions under which OnlyPeach grants the User, who accepts it, a limited license to use the Solution.

2. Scope of the License

OnlyPeach grants the User a personal, non-exclusive, non-assignable, and non-transferable right to use the Solution.
This license is granted from the date of acceptance of the General Terms and Conditions, for the entire duration of the agreement, and applies worldwide.

3. Purpose of the License and Licensed Rights

All rights not expressly granted under these General Terms and Conditions remain the exclusive property of OnlyPeach.
  • For Uploaders: The license is granted solely for the purpose of using the OnlyPeach platform, including uploading Files and managing content. Uploaders grant OnlyPeach a non-exclusive, worldwide license to distribute, market, and monetize the content they upload. In exchange, Uploaders are entitled to receive royalty-based earnings as per the terms specified in Appendix 2.
  • For Downloaders: The license is granted solely for accessing Download Pages and downloading Files made available through the Solution.
By uploading content, Uploaders acknowledge that they are not selling directly to Downloaders but rather granting OnlyPeach a license to monetize the content and distribute royalties based on sales revenue.
 

4. Restrictions

Without prior written authorization from OnlyPeach, the User shall not:
  • Grant access to the Solution to unauthorized third parties, whether for free or for payment.
  • Modify, translate, adapt, copy, or reproduce any part of the Solution, including its software, functionality, graphics, or interface, unless permitted by law.
  • Sublicense, lend, rent, distribute, commercialize, transfer, resell, or assign any part of the Solution.
  • Develop, create, or offer a competing product or service using the Solution or its technology.
  • Reverse-engineer, decompile, disassemble, or attempt to identify or modify the source code of the Solution, unless expressly allowed by law.
  • Create derivative works based on any part of the Solution.
 

Appendix 2 – Terms of Use of the Solution

1. Purpose

This Appendix governs the terms and conditions for access and use of the OnlyPeach platform by Users, particularly Uploaders who wish to distribute digital content.

2. Uploader’s Account

2.1 Account Creation

To upload Files, the Uploader must create an Account on OnlyPeach and complete the age verification process.
During registration, the Uploader must provide all required information to Veriff and our third-party payment providers. The Uploader acknowledges that their OnlyPeach Account and their payment provider account are distinct, and OnlyPeach is not responsible for any issues related to the Uploader’s payment provider’s Account.
The Uploader is responsible for ensuring the accuracy of the information provided. Any incorrect, expired, or false banking details may delay or prevent royalty payments.

2.2 Access, Use, and Security

Except in cases of technical failure attributable to OnlyPeach or force majeure, the Uploader is solely responsible for the security and confidentiality of their login credentials.
Best practices for security:
  • Uploaders are encouraged to update their password regularly and use a strong, unique password.
  • OnlyPeach may enforce password expiration policies, requiring periodic changes.
If an Uploader suspects that their Account credentials have been lost, stolen, or misused, they must immediately notify OnlyPeach at: support@onlypeach.com
If an Uploader’s smartphone is lost or stolen, they may provide proof of a police report to support their claim. Until proven otherwise, any activity on the Account is considered to be performed by the Uploader.
In case of potential or proven security threats, OnlyPeach may take preventive measures, including:
  • Resetting login credentials.
  • Temporarily suspending access to the Solution.

2.3 Account Suspension

If an Uploader violates any provision of the General Terms and Conditions, particularly by uploading prohibited or non-compliant content, OnlyPeach may suspend or terminate the Account immediately, without prior notice.
This does not limit OnlyPeach’s right to seek additional legal remedies.

2.4 Account Deletion

  • The Uploader may delete their Account at any time via the OnlyPeach platform.
  • OnlyPeach reserves the right to delete an Uploader’s Account for violations of these General Terms and Conditions.
  • In such cases, OnlyPeach may refuse future Account registrations by the Uploader.
When an Account is deleted:
  • All Files linked to the Account are permanently erased from OnlyPeach’s servers.
  • Files will no longer be accessible from any Download Page.

3. Uploading a File

The OnlyPeach platform allows Uploaders to upload Files, generating a unique Download Page link for each File.
  • Each Download Page is unique and can only be accessed via the individual hyperlink.
  • There are no restrictions on who can access the Download Page—anyone with the link can view and download the File.
Uploaders are responsible for sharing links securely and ensuring their content meets platform guidelines.

4. Royalties and Payments

4.1 Pricing and Royalties

  • Uploaders grant OnlyPeach a license to distribute and monetize their content worldwide, with no restrictions as described in Section 9.
  • OnlyPeach pays Uploaders royalties based on the revenue generated from their content only when monetized and sold via OnlyPeach links.
  • OnlyPeach deducts a 10% commission (exclusive of VAT) from each sale, unless otherwise specified directly to the Uploader.

4.2 Payout Conditions

  • The net royalty amount earned by the Uploader will be displayed on the platform.
  • The Uploader can request a payout of their net royalty amount.
  • The Uploader must ensure they have valid banking details. If an Uploader provides incorrect or expired banking details, royalty payouts may be deferred until valid details are updated.
  • OnlyPeach shall initiate the payout within ten (10) business days. In the event of any further delays, OnlyPeach shall provide notice to the Uploader. The Uploader acknowledges that additional delays in receiving funds may occur due to interbank processing times.
By using OnlyPeach, the Uploader acknowledge that they are receiving royalty-based earnings, not direct payments from buyers, and that OnlyPeach retains full rights to distribute and monetize content uploaded to the platform.

Appendix 3 – Terms of Use of the Download Pages

1. Purpose

This Appendix governs the terms and conditions for access and use of the Download Pages by Downloaders.

2. Payment and Access to the File

Downloaders may access and download a File via a Download Page, provided they have:
  • The unique hyperlink shared by the Uploader.
  • Completed the payment for the File.

2.1 Pricing and Fees

The total price displayed on the Download Page includes:
  1. The File’s price, as set by the Uploader.
      • Unless otherwise specified, this price includes applicable taxes.
      • The price also includes the 10% commission deducted by OnlyPeach from the Uploader’s earnings.
  1. The Privacy and Security Fee, paid by the Downloader.
      • This fee is disclosed before purchase.

2.2 Currency and Conversion Rates

  • The Uploader sets the File price in their preferred currency.
  • If a Downloader pays in a different currency, the applicable conversion rate at the time of payment will be applied, and the Downloader will bear the cost of the conversion.

2.3 File Access and Download Limits

  • Once payment is confirmed, the Downloader has 10 days to download the File.
  • Each File may only be downloaded once per Download Page link.

3. No Right of Withdrawal

Downloaders acknowledge that purchasing a File via OnlyPeach constitutes the purchase of digital content, without a physical medium.
By making a purchase, Downloaders agree that they:
  • Expressly waive their right to withdraw from the purchase.
  • Cannot request a refund once the File has been accessed or downloaded
This policy complies with UK consumer protection laws, which allow businesses to deny refunds for digital content purchases once access is granted.

4. Refund in Case of Fraudulent Payments

OnlyPeach’s payment system detects potential fraudulent transactions, including unauthorized bank card use.
  • If a fraudulent payment is detected, OnlyPeach will refund the cardholder.
  • If your payment information was used without consent, contact OnlyPeach support at: support@onlypeach.com
  • You must provide proof of a police complaint regarding the fraudulent transaction.
  • Until proven otherwise, any payment made using your credentials is assumed to be authorized by you.

5. Reporting Unlawful Content

If a Downloader believes that a File contains illegal content, they must notify OnlyPeach by providing:
  1. Their full name, email address.
  1. A description of the illegal content and the link to the Download Page.
  1. The legal basis for why the content is unlawful.
  1. Proof that the Downloader attempted to contact the Uploader to request removal (where required by law).

OnlyPeach will review the report and take appropriate action, which may include removing the content if deemed unlawful.

6. No Guarantee of File Quality

OnlyPeach does not guarantee that the File meets the Downloader’s expectations, as the Uploader is solely responsible for the content.
  • Downloaders acknowledge that they do not have a legal guarantee of conformity for the File, as the Uploader is not a professional seller.
  • OnlyPeach is not responsible for the content, quality, or accuracy of the File.
  • Any refund requests must be addressed directly to the Uploader.

7. Downloader’s Obligations

By using the OnlyPeach platform, the Downloader agrees to the following obligations:
  • Provide accurate payment details. Incorrect details may prevent access to the File.
  • Not use fraudulent payment methods (e.g., stolen credit cards).
  • Accept that OnlyPeach does not provide refunds if the File does not meet their expectations.
  • Not download or access a File if they know it contains illicit content.
  • Not distribute a downloaded File without the explicit consent of the Uploader
Any breach of these obligations may result in the blocking of access to the OnlyPeach platform.
